This Distributor Purchasing Contract (the “Contract”) is made and entered into as of [date] (the “Effective Date”) by and between [Distributor], a [state] corporation (“Distributor”) and [Supplier], a [state] corporation (“Supplier”).

WHEREAS, Distributor desires to purchase from Supplier and Supplier desires to sell to Distributor certain products (the “Products”) as set forth in the attached Exhibit A;

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the parties agree as follows:

1. Purchase and Sale of Products. Supplier agrees to sell and Distributor agrees to purchase the Products in accordance with the terms and conditions of this Contract.

2. Prices. The prices for the Products shall be as set forth in Exhibit A. Prices are exclusive of all taxes, duties, and other charges, which shall be paid by Distributor.

3. Payment. Distributor shall pay Supplier for the Products within [number] days of receipt of invoice.

4. Delivery. Supplier shall deliver the Products to Distributor in accordance with the delivery schedule set forth in Exhibit A.

5. Warranties. Supplier warrants that the Products will be free from defects in material and workmanship and will conform to the specifications set forth in Exhibit A.
